DAS SOC SERVICES ADDENDUM

Effective as of January 1, 2024 (Version Number: 45292)

All terms not defined herein shall have the meaning ascribed to them in the DAS Standard Incorporated Terms and Conditions.

DAS Security Operations Center Services (“SOC Services”): - If the executed COF or Cybersecurity Bundled Package includes “SOC Services” in any form, DAS will use reasonable commercial efforts to provide:

1. SOC services (as outlined below) during each Calendar Year for which (a) the SOC was initially ordered, provided that there was a UFC paid, or (b) 12 months’ MSC has been paid or agreed to be paid, and there has been no default or late payments by Client.
2. Subject to the terms contained herein, the following services are included:
   1. The Client authorizes DAS to deploy their Security Operation Center (SOC) agent to all in-scope laptops, workstations and servers in order to monitor, collect, and aggregate security relevant data to the SOC. 
   2. The Client also authorizes DAS to forward security relevant data from network devices, Endpoint protection systems, and cloud-based systems to the SOC.
   3. Payment. SOC Services are Services Billed in Arrears and subsequent MSC adjusted accordingly. 
   4. The SOC Terms of Service Agreement (TOS) is available at: https://app.rocketcyber.com/tos and is specifically incorporated by reference and made a part of this Agreement.
   5. It is Client’s sole responsibility to ensure that Client is in compliance with applicable local, state, and federal laws and regulations. The SOC does not take the place of Client’s diligence and responsibility for compliance, and is only a tool to provide assistance in such compliance. DAS shall have no liability to Client for any loss occasioned by Client’s conduct or the conduct of Client’s officers, agents, contractors or employees. In no event shall DAS be liable to Client for direct, indirect, incidental, or consequential damages, it being understood and agreed that Client hereby expressly waives any and all claims against DAS for any loss, cost, damages or liability that may be incurred by Client as a result of DAS’ acts or failures to act hereunder.
